3.2 Top Shelf Entertainment reserves the right to decline any project based on:

Budget or timeline feasibility
Artist availability
Municipal procurement requirements

4.1 All pricing, talent availability, and service descriptions are:

Dependent on municipal approval and third-party confirmation
4.2 Only a fully executed contract constitutes a commitment of services.
5. Content & Community Standards
5.1 Top Shelf Entertainment maintains family-friendly and community-appropriate programming standards.
5.2 We reserve the right to modify or decline programming that conflicts with:
Municipal guidelines
Venue requirements
Community expectations
6. Third-Party Vendors
6.1 Events may involve independent third parties including artists, venues, production providers, and security services.
6.2 Top Shelf Entertainment is not responsible for the acts, omissions, or performance of third-party vendors outside the scope of our direct contractual obligations.
7. Intellectual Property
7.1 All content on this website—including text, images, and logos—is the property of Top Shelf Entertainment unless otherwise credited.
7.2 Any photos and/or video content of The City of Baytown's Juneteenth Celebration has been specifically authorized for Top Shelf Entertainment's use by the Baytown Parks & Recreation Department.
7.3 Content may not be reproduced without written permission.
8. Limitation of Liability
8.1 Website information is provided “as is” without warranties of any kind.
8.2 Top Shelf Entertainment is not liable for:
Reliance on preliminary information
Website interruptions
Indirect or consequential damages
9. No Ticket Sales
9.1 This website does not process ticket sales or financial transactions for event admission.
9.2 Any third-party ticketing platforms used for events are governed by their own terms and policies.
10. Governing Law
10.1 These Terms & Conditions are governed by and construed in accordance with the laws of the State of Texas.
10.2 Any disputes shall be subject to the jurisdiction of courts located in Texas.

13. Force Majeure (Events Beyond Our Control)
13.1 Top Shelf Entertainment shall not be liable for failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to:
Acts of God, severe weather, or natural disasters
Government actions or emergency declarations
Venue closures
Public safety concerns
Artist illness or travel disruption
Utility or equipment failures
Civil disturbances or labor disputes
13.2 In such events, Top Shelf Entertainment will work in good faith with the client to:
Reschedule services when feasible
Modify programming to meet safety requirements
Coordinate with artists and vendors on revised arrangements
13.3 Any refunds, rescheduling, or cancellations will be governed solely by the executed event agreement, not by website representations.
14. Indemnification
14.1 To the extent permitted by Texas law, the client or contracting organization agrees to indemnify and hold harmless Top Shelf Entertainment, its officers, employees, and contractors from claims arising out of:
Event attendee conduct
Venue conditions
Third-party vendor actions
Client-provided content or direction
Security or crowd management decisions made by the client
14.2 Top Shelf Entertainment maintains required insurance coverage; however, ultimate event liability responsibilities will be defined in the executed event agreement.
15. Public Entity Requirements
15.1 When contracting with municipalities or public entities, all services are subject to:
City procurement policies
Council approval processes
Insurance and indemnity requirements mandated by the governmental entity
15.2 In the event of any conflict between these Terms and a municipal contract, the executed government agreement shall control.
